General Terms and Conditions

This Privacy Policy how Vital Care Infusion Services, LLC, our subsidiaries, affiliates, and franchises (collectively, “Company”, “we”, “us”, or “our”) collect, use, and share your personal information in connection with Company -owned and -operated websites or digital properties that link to this Privacy Policy and our related email, phone, and other electronic communications, social media pages, and marketing activities (collectively, the “Site”), and the rights and choices available to individuals with respect to their personal information.

This Privacy Policy does not apply to the protected health information that you may provide to the Company or its franchises in connection with the provision of pharmacy services. For more information about our privacy practices relating to those activities, please review the relevant Notice of Privacy Practices provided to you. If there are any inconsistencies between that notice and this Privacy Policy, the Notice of Privacy Practices will control.

Company reserves the right, at any time, to modify this Privacy Policy. If we make revisions that change the way we collect, use, or share personal information, we will post those changes in this Privacy Policy. You should review this Privacy Policy periodically so that you keep up to date on our most current policies and practices. We will note the effective date of the latest version of our Privacy Policy at the top of this Privacy Policy. Your continued use of the Site following posting of changes constitutes your acceptance of such changes.

By using the Site, you express your understanding and agreement that you are bound by these general terms and conditions. If you are unwilling to be bound by these general terms and conditions, do not use the Site.  By using the Site, you also express your understanding and agreement that you are responsible for complying with all applicable laws and regulations. Accessing or using any portion or feature of the Site from any territory where such portion or feature of the Site is illegal is prohibited.

 

Pharmacy Locations are Independently Owned and Operated

While Vital Care Infusion Services, LLC operates and controls the Sites, it is not responsible for the operation of most Pharmacy Locations. Most Pharmacy Locations are instead owned and operated by independent franchisees of Vital Care Infusion Services, LLC and some are operated by Vital Care Infusion Services, LLC affiliates (such franchisees and subsidiaries are together, “Pharmacies”). Each Pharmacy is solely and independently responsible for its legal and regulatory compliance, for any issues relating to the services or products you may receive, and for any employment-related matters in the Pharmacy.

 

Non-Personally Identifiable Information

We may use non-personally identifiable information collected from you and other users to perform statistical analyses of user behavior and characteristics. These aggregated statistics may be used to improve this Site and for other business purposes, including to respond to requests, for marketing and advertising, to secure the Site, to communicate with you, as required by law, and for other compliance and protection purposes. This Site may also collect information through a variety of technical methods, including cookies. We may use cookies to store information such as which of our web pages you have visited and other session information so that we can better understand how the Site is used, resolve technical problems, monitor traffic, and enhance your experience at this Site.

 

Personally Identifiable Information

If you proactively submit information to us through this Site, we may record and use any personally identifiable information that you provide, such as your name, telephone number, and e-mail address. This information may be used to fulfill your request or for internal business purposes, including to respond to requests, for marketing and advertising, to secure the Site, to communicate with you, as required by law, and for other compliance and protection purposes.

We may use service providers to operate our Site and employ other third parties to perform work on our behalf, such as hosting this Site or operating our investor portal. These persons may have access to the personally identifiable information you submit through this Site, but only for the purpose of performing their duties in connection with this Site.

In addition to the specific situations discussed elsewhere in this Privacy Policy, Company may share your personal information in the following circumstances:

Related Companies. We may share your personal information with companies that are affiliated with us (that is, that control, are controlled by, or are under common control with us) or our franchises.

Service Providers. We may share your personal information with third parties who perform services for or on our behalf or help us run our business. Among other things service providers may help us perform Site hosting, maintenance services, database management, web analytics, billing, payment processing, fraud protection, credit risk reduction, marketing, or any other use set out in this Privacy Policy.

Advertising Partners. We do or may participate in interest-based advertising. This means that our advertising partners may use technology (e.g., a cookie) to collect information about your activity on the Site and other online services to help us advertise our services or use hashed customer lists that we share with them to deliver ads to them and similar users on their platforms.

Affiliated Pharmacy and Healthcare Practices. We may jointly offer events, promotions, or any other product or service offerings with our network of franchise pharmacy locations. The personal information that you submit through an event, promotion, or other product or service offering offered with any of our franchise pharmacy locations may be combined and transmitted with the registration information related to your account. Third-party partners or clients may collect information directly from you, which may be combined with personal information disclosed by us. If you decide to request, enter, or participate in an event, promotion, or other product or service offering that is offered by us and identified as a joint effort with an affiliated franchise pharmacy location, the information that you provide may be shared with us and with them.

Professional Advisors. We may share personal information with persons, companies, or professional firms providing Company with advice and consulting in accounting, administrative, legal, tax, financial, debt collection, and other matters.

Business Transaction Participants. If we sell all or part of our business, make a sale or transfer of assets, or are otherwise involved in a corporate divestiture, merger, consolidation, acquisition, reorganization, dissolution, sale, or other disposition of all or any portion of the business or assets of, or equity interests in the business (including any affiliate), whether as part of a bankruptcy, liquidation, or similar proceeding, we may transfer your personal information to third-parties as part of that transaction, including at the negotiation stage.

Authorities and Relevant Third Parties. We may disclose personal information in response to subpoenas, warrants, or court orders, in connection with any legal process, to comply with relevant laws, or for the compliance and safety purposes described in this Privacy Policy.

In addition, we may ask if you would like us to share your personal information with other unaffiliated third parties who are not described elsewhere in this Privacy Policy, and we may do so with your consent.

 

Your Choices

You can make the following choices regarding your personal information:

Access or Update Your Personal Information. If you have registered for an account with us, you may review and update certain account information by logging into your account. You may also contact us using the contact information provided at the end of this Privacy Policy.

Opt-Out of Promotional E-mails. You may choose to provide us with your e-mail address for the purpose of allowing us to send newsletters, surveys, offers, and other promotional materials related to our Site and products and services, as well as targeted offers from third-parties. You can stop receiving promotional e-mails by clicking the “unsubscribe” links in the e-mails or by contacting us as described below. If you decide not to receive promotional e-mails, we may still send you service-related communications, such as those about your account, to fulfill orders for products and service you have requested, or service notices.

Opt-out of Text Messages. We may offer communications via text messages sent by us or any of our service providers or franchises, such as when we send you text messages to confirm your appointment, respond to your inquiries, or for promotional purposes. To stop receiving text messages from us, reply STOP to any text message you receive from us, or email us your request and mobile telephone. Note that we may send you a message to confirm receipt of your STOP request.

Cookies. Most browsers let you remove or stop accepting cookies from the websites you visit. To do this, follow the instructions in your browser’s settings. Many browsers accept cookies by default until you change your settings. If you do not accept cookies, however, you may not be able to use all functionality of the Site and it may not work properly. For more information about cookies, including how to see what cookies have been set on your browser and how to manage and delete them, visit www.allaboutcookies.org.

We do or may use Google Analytics or other analytic providers to help us understand user activity and patterns on the Site. You can prevent the use of Google Analytics or other analytic providers relating to your use of our Site by downloading and installing a browser plugin.

Advertising. You can also limit collection of your information for interest-based ads by blocking third party cookies in your browser settings or using privacy plug-ins or ad blocking software that help you block third party cookies. In addition, your mobile device settings may provide functionality to limit use of the advertising ID associated with your mobile device for targeted online advertising purposes. If you opt-out of interest-based advertisements, you will still see advertisements online but they may be less relevant to you.

Some of the third-party advertising companies we work with offer their own opt-out options that you can use to limit their use of your information for interest-based advertising. Please note that we also may work with companies that offer their own opt-out mechanisms or do not participate in the opt-out mechanisms described above. Even after using these opt-out mechanisms, you may receive interest-based advertising from other companies.

Do Not Track. Some internet browsers may be configured to send “Do Not Track” signals to the online services that you visit. We currently do not respond to a “Do Not Track” signal. To find out more about “Do Not Track,” please visit http://www.allaboutdnt.com. Our Site does respond to the Global Privacy Control (GPC) signal as described in the “Right to opt-out of the “sale” or “sharing” of your Personal Information” section below.

Declining to Provide Information. We may need to collect personal data to provide certain services. If you do not provide the information requested, we may not be able to provide those services.

 

Retaining and Securing Your Personally Identifiable Information 

We will retain personally identifiable information for the period necessary or appropriate to fulfill the purposes of collecting such personal information. For example, we may retain personal information we obtain from you when we have an ongoing legitimate business need to do so, including for pharmacy services or billing for such services.  Regardless, we will keep such personally identifiable information for at least any period required by law.

We will take appropriate technical and organizational measures to keep your information confidential and secure in accordance with our internal procedures covering the storage, access, and disclosure of information. Information may be kept on our information technology systems, in the information technology systems of our third-party service providers, or in paper files.

NOTICE TO CALIFORNIA RESIDENTS

CCPA Rights

Under the CCPA, residents domiciled in California have certain rights with respect to their personal information, including the right to:

Request that we disclose, free of charge, the categories and specifics of any “personal information,” as defined under the CCPA (“PI”), we collect about California residents (and/or, if applicable, sell or otherwise disclose to a third party for business purposes).

Choose to opt-out of the sale of any personal information we collect. 

Request that we delete any PI we have collected. Following our verification of the request, we will comply with the request and delete any or all the PI in our possession that we collected from the California resident and/or any or all such PI in the possession of our service providers or franchisees, unless otherwise restricted by law or regulation.

 

Non-Discrimination for Exercising Your CCPA Rights

We follow the requirements of California Civil Code §1798.125, and will not discriminate against any consumer who exercises the rights under the CCPA.

CPA Rights

Under the Colorado Privacy Act (“CPA”), residents domiciled in Colorado have certain rights with respect to their personal data, referred to in this Privacy Notice as personal information or personally identifiable information, including the right to:

Access. You can request that we confirm whether we process your personal information and to access that personal information.

Correct. You can ask us to correct inaccurate personal information that we maintain about you.

Delete. You can ask us to delete personal information provided by or obtained about you.

Port. You can request to obtain a copy of personal information in a portable and, to the extent technically feasible, readily usable format.

Opt-out of “sales” and “targeted advertising.” If we “sell” your personal information or engage in “targeted advertising” according to Colorado law, you can opt-out.

Nevada Revised Statutes Chapter 603A allows Nevada residents to opt-out of the “sale” of certain types of personal data. Subject to several exceptions, Nevada law defines “sale” to mean the exchange of certain types of personal data for monetary consideration to another person. This Consumer Health Data Privacy Policy describes how the Company collects, uses, and discloses personal information that is considered “consumer health data” under applicable state law in connection with Company owned and operated websites or digital properties that link to this Consumer Health Data Privacy Policy and our related email, phone, and other electronic communications, and marketing activities (collectively, the “Site”), and the rights and choices available to consumers with respect to their consumer health data.

“Consumer health data” refers to such term as defined under Nevada privacy laws, as applicable, and generally refers to personal information that is linked or reasonably linkable to a consumer and that identifies the consumer’s past, present, or future physical or mental health status. Consumer health data does not include protected health information that you may provide to Company in connection with the franchised locations’ provision of healthcare services or for the Company’s related services. For more information about our privacy practices relating to those activities, please review any Notice of Privacy Practices provided to you. If there are any inconsistencies between that notice (to the extent provided) and this Consumer Health Data Privacy Policy, the Notice of Privacy Practices will control.

We do or may collect the following categories of consumer health data directly from consumers through our Site (specifically, website or at the pharmacy location) in connection with scheduling a requested appointment:

Individual health conditions or status.

Medical interventions or previous health-related procedures.

Data that identifies a consumer seeking health care services, such as responses to your current health-related need.

 

–Use of Consumer Health Data 

We use the consumer health data identified above to fulfill your request to schedule a consultation appointment, to understand and communicate with you about your healthcare history and future interest in pharmacy solutions, to customize content that may be of interest to you, and to provide you with information about our products and services. We may also use the consumer health data identified above for internal reporting and analysis.

 

–Disclosure of Consumer Health Data

We may disclose consumer health data to the following entities or persons as necessary to provide the requested scheduling services:

Related Companies. We may disclose consumer health data to companies that are affiliated with us (that is, that control, are controlled by, or are under common control with us and are co-branded), specifically, The Aspen Group (Team TAG Services, LLC) and Aspen Dental (Aspen Dental Management, Inc.), for the purpose of internal reporting and analysis.

Service Providers. We may disclose consumer health data to third parties who perform services for or on our behalf to provide our scheduling services, such as our website host, and database management.

Affiliated Pharmacy and Healthcare Practices. To the extent we have such information, we disclose your contact information, reason for the appointment, and appointment date and time with the Pharmacy location that you select.

Business Transaction Participants. If we sell all or part of our business, make a sale or transfer of assets, or are otherwise involved in a corporate divestiture, merger, consolidation, acquisition, reorganization, dissolution, sale, or other disposition of all or any portion of the business or assets of, or equity interests in the business (including any affiliate), whether as part of a bankruptcy, liquidation, or similar proceeding, we may transfer your personal information, including consumer health data, to third parties as part of that transaction, including at the negotiation stage.

We do not permit third parties to collect your consumer health data.
